Contract Drafting and Negotiation (Spring 2017)

Course Description

This class will teach the mechanics of drafting and negotiating contracts with an emphasis on developing practical skills and tools that each student can use in his or her practice of law after graduation.

The course will include negotiation exercises, drafting exercises and exploration of negotiation theory. Students will be introduced to standard contract provisions (so-called "generic" clauses) and standard contract structure, as well as issues specific to more specialized agreements they might encounter in their practice. Class attendance and participation will be important and will be taken into account in each student's grade. There will also be periodic assignments for completion outside of class and a final examination. The course is available to be taken CR/D/F. This class relies heavily on computer use. Students are encouraged to use computers for the final examination.
