Contract Drafting and Negotiation (Spring 2017)

Course Description

This course will provide students with the foundational skills of drafting and negotiating contracts, with an emphasis on practical advice to help students hit the ground running whether in a private practice or in-house setting.  The class will cover the basic structure of a contract, the typical process of running a transaction, negotiation strategies, and best practices to ensure a consistent and quality wok product.  Students will be introduced to various types of contracts, ranging from purchase and sale contracts, joint venture agreements, leases, and license agreements, as well as ancillary documents such as term sheets and closing checklists used in the negotiation and drafting process. 

 

This course will be highly interactive and as such participation and attendance are critical.  In addition to lectures, in-class and take-home drafting assignments will be assigned to help students implement the concepts covered in the class, as well as negotiation exercises and simulations. The course will also include a take-home final exam.
