Course Description

This commercial law course is principally concerned with Article 9 of the Uniform Commercial Code and the creation and perfection of security interests in personal property.  The course will be relevant to those students interested in structured finance, lending or other transactional areas. 

The course will focus on issues relating to the general lawyering process for a commercial lawyer whereby the interests of parties in various types of financing transactions are protected.  Accordingly, there will be some focus on how transactions are structured and how Article 9 and certain other debtor/creditor laws interact with the objectives of the parties in those transactions.  Practical approaches to problems will be emphasized.  Class participation will be strongly encouraged.
