Course Description

This course explores the primary law governing sales of goods within the United States:  Article 2 of the Uniform Commercial Code (“UCC”).  The course covers the scope of the law, contract formation, the requirement of a writing, express and implied warranties, warranty disclaimers and limitations, terms of the contract, performance, breach, and remedies.  The course includes  brief consideration of the United Nations Convention on Contracts for the International Sale of Goods (“CISG”), of strict products liability and of consumer rights and remedies under the Magnuson-Moss Warranty — Federal Trade Commission Improvement Act.  Substantial emphasis is placed on applying the laws to factual situations.  Students are expected to come to class prepared to answer questions and problems set out in the casebook.  This class requires more reading and preparation than does a typical 2-unit law school class.
