Business Organizations (Fall 2017)

Course Description

This course covers the fundamental legal doctrines and concepts relating to corporations and other forms of business organization, especially partnerships and limited liability corporations.  Our primary legal source will be state corporate law (especially Delaware), with some coverage of the federal securities laws.  Throughout we will examine the interaction between corporate law, as set forth in case law and statutes, and the rich variety of contracts in transactional legal practice.  Note that the exam format for this course will be primarily “long essay”.
