Course Description

This seminar will provide you with the basic tools necessary to begin your career as a transactional attorney either in a law firm or an in-house environment.  The course is not intended for students who plan to practice litigation.  The course will focus on drafting techniques, various types of commonly-used agreements and basic substantive law needed to prepare such agreements.  We will discuss negotiation strategies, as well as engage in mock negotiations.  The class will focus on practical drafting and negotiating styles, based on many real-life situations.


The class will cover the following topics, among others: anatomy of a contract; drafting basics and styles; clear and concise writing; negotiation strategies; term sheets; mock negotiations/case studies; letters of intent; asset purchase agreements; alternative dispute resolution; employment agreements; intellectual property matters and license agreements; settlement agreements; opinion letters; and basic financing documents.
