Business Organizations (Spring 2019)

This course examines the legal organizations most often used by businesses in the United States. We will study the specific laws governing business organizations, the policies and theories underlying these laws, and best practices for complying with them. The primary focus of the course is to analyze comparatively corporations, partnerships and hybrid entities.
The subject matter will be taught using the “problem method” in order to promote a practical understanding of business organizational law. Additionally, students will be required to read and interpret the core statutory provisions that govern each business organization.
PLEASE NOTE: Students must purchase either the course textbook (or another statutory supplement, if they prefer) as the statutory provisions in it will be necessary for the course.
The course textbook is Business Organizations: A Transactional Perspective (2d Edition, Cognella Academic Press 2018) (ISBN 978-1-5165-1363-5)
Be sure to purchase the second edition of the textbook as it includes a substantial number of different rules than the first edition.
Grading Option: Numerical only
Course Grading: Quiz #1 (20)%, Quiz #2 (20%), Quiz #3 (20%) & Final Exam (40%). Students should enroll in this course only if they are committed to attend class and work consistently throughout the semester. The course is designed to reward those students.
