Course Description

This course explores the primary law governing sales of goods within the United States, which is Article 2 of the Uniform Commercial Code (“UCC”).  The course covers the scope of the law, contract formation, express and implied warranties, warranty disclaimers and limitations, terms of the contract, performance, breach, and remedies.  Brief consideration will be given to the United Nations Convention on Contracts for the International Sale of Goods (“CISG”), of strict products liability and of consumer rights and remedies under the Magnuson-Moss Warranty - Federal Trade Commission Improvement Act.  The course will examine how these contract law principles affect commerce and legal practice in the real world. Students are expected to come to class prepared to answer questions and problems set out in the casebook. This class may require more reading and preparation than does a typical 2-unit law school class.
