USC Law Stages Seminar for Entrepreneurs

Event set for Wednesday, March 12, at the L.A. Athletic Club

USC Law’s Small Business Clinic is holding a seminar for Los Angeles-area entrepreneurs March 12 at the Los Angeles Athletic Club.

The daylong event will help small business owners navigate the often complicated legal world of setting up and protecting businesses. USC Law Professor Michael Chasalow, director of the USC Small Business Clinic, will offer advice on creating legal structures that will protect business start-ups and foster success as the business grows. Reviews of case studies and topic presentations by USC Law students working in the clinic will also be featured. Online registration is available here.

The USC Small Business Clinic — staffed by law students under the direction of Chasalow — opened last fall to help fledgling business owners with issues such as contracts, general business agreements, trademarks and unforeseen legal problems.

USC Gould School of LawChasalow, a business law professor and consultant to a variety of start-up companies, says USC’s Small Business Clinic is designed to provide second- and third-year law students with real-life experience while helping business owners ward off future problems and lawsuits.

So far, the clinic has received hundreds of inquiries from area entrepreneurs. USC Law students are currently helping small businesses, such as tutoring, day camps and home theater installation.
Topics to be addressed at the seminar include:

SCORE Los Angeles• Common myths and mistakes people make in setting up a business.
• The differences between an LLC, a C-corporation and an S-Corporation and how to determine which one is right for your business
• Why you should not operate as a partnership or a sole proprietorship
• The issues that co-owners should address and resolve in a “Shareholders Agreement” before starting a business together
• How to protect your house and other assets if your business does not succeed.
• What to look for in an attorney, and the questions to ask before hiring that person 

This seminar is co-sponsored by the Los Angeles chapter of SCORE, as part of its effort to provide members of the Los Angeles small-business community with critical information that can help them establish and grow their businesses.

The seminar is $15 with online registration or $20 at the event. The fee for USC students is $10.
