Commercial Real Estate Finance Transactions LAW-639

This course is an in-depth treatment of cutting-edge techniques used in commercial finance. It will include a discussion of the evolution of the finance markets, identification and techniques used by lenders, and capital stack structures that drive the most sophisticated transactions in today’s vibrant real estate markets.   The course is intended to explain at a high level the nature and nuances of commercial real estate (“CRE”) finance transactions.  The course will begin with a discussion of the historical regime for CRE finance transactions and move forward into the various ways that they have become more sophisticated, demanding, and complicated.  After going into detail of who the current market participants are and the typical ways in which their CRE investments are structured, the course will turn to the economics and documentation of loan transactions and customary real estate and corporate diligence. The last sessions of the course will be devoted to specific types of loan transactions, focusing on both “capital stack” structure and unique issues raised in certain types of transactions.
