Contract Drafting and Negotiation (Fall 2017)

Course Description

This course will provide students with the basic skills and tools necessary to begin a career as a transactional attorney in a law firm or in-house legal department.  Students will learn basic substantive law, gain an understanding of common contract provisions, and acquire a basic grounding in negotiation skills.  Topics to be covered include anatomy of a contract, negotiating strategies, contract drafting basics and styles.  Students will be introduced to a variety of common types of contracts, including letters of intent/term sheets, confidentiality/non-disclosure agreements, consulting and professional services agreements, software license agreements, hardware/equipment contracts, sponsorship contracts, hotel contracts and settlement agreements.  The course will include in-class and out-of-class exercises designed to help students practice and apply the concepts learned.  Each student will participate in a mock contract negotiation session.  Class attendance and participation will be important and will be taken into account in each student’s grade.  Due to the interactive nature of this course, enrollment is limited.
