Course Description

This course explores the primary laws governing sales of goods within the United States or involving parties located within the United States:  Article 2 of the Uniform Commercial Code and the United Nations Convention on Contracts for the International Sale of Goods.  The course covers the scope of the laws, contract formation, the requirement of a writing, express and implied warranties, warranty disclaimers and limitations, the terms of the contract, performance, breach, and remedies.  The course includes a brief analysis of strict products liability and of consumer rights and remedies under the Magnuson-Moss Warranty—Federal Trade Commission Improvement Act.  Substantial emphasis is placed on applying statutory laws to factual situations.  Students are expected to come to class prepared to answer questions and problems set out in the casebook.  This class requires more work and preparation than does a typical 2-unit law school class.
