Contract Drafting and Negotiation (Fall 2019)

Course Description

This course will provide students with the basic skills and tools necessary to begin a career as a transactional attorney in a law firm or in-house legal department.  Students will learn basic substantive law, gain an understanding of common contract provisions, and acquire a basic grounding in negotiation skills.  Topics to be covered include the anatomy of a contract, negotiation strategies, contract drafting basics and styles.  Students will be introduced to a variety of common types of contracts.  The course will include in-class and outside-of-class exercises designed to help students practice and apply the concepts learned.  Each student will participate in a mock contract negotiation session with another student.  Class attendance and participation will be important, and will be taken into account in determining each student's grade.  Due to the interactive nature of this course, enrollment is limited to 22 students
