Course Description

The course will cover the fundamental components of business contracts, including typical structure, common provisions and boilerplate language. The course will also cover how to analyze a draft contract in order to spot ambiguities and anticipate issues. Finally, the course will cover the preparation and strategy for drafting and negotiating contract provisions. 

The course will be a 2 unit course - for grade only (no CR/D/F option). Class participation will be required and 15% of grading.
