Sales Transactions (Fall 2019)

Course Description

The material in this course is tested on the on the Contracts section of the Multistate Bar Exam.

This course provides an introduction to essential commercial concepts in the context of sales transactions.  Students extend their knowledge of contract law through an in-depth study of the sale and lease of goods. The broad themes of this course may be familiar from the 1L Contracts course but the law governing the sale and lease of goods within the United States is governed by Article 2 of the Uniform Commercial Code (UCC), not the common law that is taught in 1L Contracts. 

The primary topics include contract formation and enforceability, terms of the contract, risk of loss, warranties, performance and breach, remedies for breach, and transfer of goods.

A problem-solving approach is used extensively and students will gain extensive training in reading, interpreting and applying statutory provisions.
