Contract Drafting, Negotiation and Analysis (LLM Only) (Fall 2019)

Course Description

This course is co-taught by Professor Yamaguchi and Professor Schwarz-Gondek.

In this two-unit course, we will provide an introduction to the fundamentals of drafting and analyzing business contracts and principles of contract negotiation, with an emphasis on developing practical skills.

During the semester, we will discuss the fundamental components of business contracts.  Students will be introduced to the anatomy of a contract and standard contract provisions (so-called "boilerplate" clauses).  There will be periodic drafting assignments for completion outside of class. 

Approximately one-third of the course will cover principles of contract negotiation, including preparation and strategy.  The focus will be on practical concepts of negotiation, rather than on theoretical or psychological analysis. There will be several in-class mock negotiation exercises in which all students will participate.

Grading for the course will be based on a combination of class attendance, class participation and an in-class final exam with short essay questions.
